Terms And Conditions

 

Welcome to the Country Supplies term and conditions of use. These terms and conditions apply to all collections and deliveries from Country Supplies, as well as use of the web site. By accessing the site and/or placing an order, you agree to be bound by the terms and conditions set out below. These terms and conditions apply to all of the products and services supplied by Country Supplies. If you do not agree to be bound by these terms and conditions, you may not place an order or use the website. We advise you to print a copy of these terms and conditions now.

Definitions

  • Business or Trade Customer- means if you are acting in the course of a business, trade or profession in your ordering and/or purchasing of Products. 
  • Consumer or domestic customer- means anyone who acts outside the course of a business, trade or profession, the person that will receive the benefit of the product.
  • Delivery Terms- means the terms that apply to our delivery services, full details of which can be found in store and on our Website.
  • Natural Materials- means materials that come from the planet directly or from its plants and animals
  • Natural characteristics- means the aspects of the material that can make separate pieces of the same material look and/or behave differently to each other
  • Order- means an order placed by you for Product(s) in store, through our Website, by telephone or using such other means as we may permit from time to time.
  • Original Condition- means that the product hasn’t been used, has all the intact original packaging in good condition and the product can be resold at full price
  • Privacy Policy- means our privacy policy, full details of which can be found on our Website or requested
  • Process Characteristics- means how the action of preparing, packaging and transporting natural materials can make them look and behave
  • Product or Products- means the goods and materials that we sell, both man-made and natural materials
  • Product Description- means that part of the website where certain terms and conditions in respect of the individual product are provided
  • Services- means the delivery or workshop services we provide
  • Terms- means these terms and conditions of sale and any conditions attached to specific products
  • The Company, we, us or our- means Oakleaf  Farm Ltd Trading As Country Supplies, Oakleaf Farm, Warrendene Road, Hughenden Valley, High Wycombe, Bucks., HP14 4LY. Company Registration number.: 7064519. VAT number: 604266266
  • United Kingdom- means England, Wales, Scotland, Northern Ireland and the Channel Islands
  • Users- means the users of the website collectively
  • Website- means the website (www.countrysupplies.uk.com (or such other URL as we may specify from time to time) that is operated by us or on our behalf.
  • Working day- 7.30am – 5.00pm, Monday – Friday only
  • You or Your- means you, the customer ordering and purchasing Products, including traders or persons of a corporate entity
  1. Interpretation

    1. A reference to a person includes a human individual, a corporate entity and any organisation which is managed or controlled as a unit
    2. In the context of permission, "may not" in connection with an action of yours, means "must not".
    3. A reference to a product that is from a natural material will infer the natural characteristics, including but not limited to: not being identical; variations in colouring, formation markings, shape, surface and texture; movement and residues due to climate conditions.
    4. A reference to a product that is from a natural material will infer that it has gone through processes for preparing it for use and supply, which could result in markings, chips, surface variations, discolouration and fracture.
  2. Ordering

    1. Orders
      1. When placing an order for the first time, you will be required to register with us through the order process, either on the telephone or via the website.
      2. You agree that any personal data which you are required to give when you register on our website or give over the telephone to arrange an order, is true, accurate, current and complete in all aspects.
      3. You agree to notify us immediately of any changes to your personal data by updating these details either on your online account, by telephone or in writing.
      4. You agree not to give details as your own, that are false or that you are not authorised to use.
      5. You are deemed to have placed an order with us by making payment via our online checkout process, by verbal agreement at our premises, or via our telephone ordering system.
      6. An order is only accepted by us and an agreement exist between us, when the payment is received in full for all products*, including any related delivery charges and upon dispatch of the order (*except for accounts with a credit facility)
      7. We reserve the right to refuse to accept an order.
      8. All orders are subject to stock availability.
      9. All orders will only be concluded in English. If there is any conflict in meaning between the English language version of this agreement and any version or translation of this agreement in any other language, the English language version will prevail.
    2. Amendments
      1. Any special order or bespoke items cannot be amended once it is submitted.
      2. No changes to an order may be made after 12pm on the working day prior to the delivery taking place.
      3. We are unable to amend orders after dispatch, including allowing items to stay on the vehicle on the day of delivery.
      4. Any amendments need to be paid for at the time of making them
      5. A reduction in an order can lead to the price per unit increasing, incurring a delivery charge or refusal of an order due to being too small
  3. Pricing

    1. Should an incorrect price be displayed, we reserve the right to refuse the order.
    2. All prices quoted by the Company are only valid at the time of contract and are exclusive of any other matters unless otherwise agreed and may be changed at any time.
    3. Any quotes given are only valid for 7 calendar days.
    4. Where a special price is agreed, it will be specific to an individual order unless otherwise stated and confirmed.
    5. The Company reserves the right to revise the quoted price in the event of unforeseen and extraordinary expenses for the Company appertaining the goods.
    6. All prices stated include VAT at the applicable rate, unless otherwise stated.
    7. For orders made outside of the UK, all orders will be charged including the applicable UK rate of VAT.
  4. Payment

    1. Orders will not be scheduled for delivery until full payment is received.
    2. Where payment is being made via internet banking or BACS, this needs to be received at least 48 hours before the delivery is due to be made.
    3.  If for any reason your order is not accepted or we are unable to supply the products you have ordered, a full refund will be issued.
    4.  If you order Product(s) on behalf of a company, organisation or other entity, then (i) "you" includes you and that company, organisation or other entity, and (ii) you represent and warrant that you are authorised to bind the company, organisation or other entity to our agreement (including these Terms), and that you agree to our agreement (including these Terms) on behalf of yourself and the company, organisation or other entity.
    5. We accept payment in British pounds sterling only.
    6. The Customer shall not be entitled by reason of any set-off, counter-claim, abatement, or other deduction to withhold payment of any amount due to Country Supplies.
  5. Delivery

    1. By Country Supplies
      1. Deliveries will primarily be made using 18 & 26 tonne vehicles
      2. Delivery is deemed to be successful once the products have arrived at the address provided for delivery.
      3. Once delivered the responsibility for the product is deemed to be the cardholder's and any loss or damage to the product is then at your own risk.
      4. Delivery time will not be of the essence of the contract and the Company will not accept any liability where the order arrives at a time or date different to the one anticipated.
      5. The Company will not accept liability for non-delivery, where this is caused by circumstances beyond its control.
      6. We take no responsibility for third party costs incurred arising from perceived late deliveries.
      7. The delivery contract is to the kerbside only.
      8. Any delivery beyond the kerbside is at the company’s discretion and the customers risk.
      9. The customer is responsible for providing sufficient information when placing the order, to enable the delivery to take place.
      10. We reserve the right to use a third party to fulfil our delivery obligations.
    2. Third party deliveries
      1. Third parties will need a solid, flat and level surface to deliver on.
      2. Customers will need to be present if the delivery is due to be made by a third party.
      3. The customer will be liable for any re-delivery charge or waiting costs that are accrued by the carrier.
  6. Cancellations/Returns policy

    1. Non-trade customers 
      1. Country Supplies are only required to accept items back in line with the consumers statutory rights.
      2. The customer has the right to cancel any order or service except perishable goods in line with the "Consumer Contracts (Information, Cancellation and additional charges) Regulations 2013", where the order has been made by telephone or via the website.
      3. Any cancellation should be made as soon as possible, either by telephone on 01494 562406 or ideally using an enduring means, e.g. email or letter. A form for this purpose is accessible here Order Cancellation Form.
      4. Country supplies will make every endeavour to resolve any genuine dispute in a reasonable and fair manner.
      5. If you wish to exercise your right of cancellation, you are obliged to retain possession of the goods and take reasonable care of them until delivered to our premises.
      6. The customer is liable for all return shipping costs if they wish to cancel their order after dispatch of the goods.
      7. Turf orders cannot be cancelled after 11.00am the working day before the delivery.
      8. If a part of an order is requested to be left on a delivery vehicle when an attempt to deliver it is made, it will be considered as a return and subject to a charge for its transport back to our premises.
      9. If we are unable to make the delivery due to it being refused by the customer, except where an error is made by us, then the order will be considered to be cancelled for which the customer will be responsible for the cost of the materials to be returned to our premises.
      10. Where the situation in clause 6.1.8 arises, then any arrangement to deliver the original materials at a different time or date will be considered a new agreement.
      11. Goods prepared to order to the specific requirements of the customer are excluded from cancellation under "Consumer Contracts (Information, Cancellation and additional charges) Regulations 2013".
      12. The cost of collecting cancelled orders will differ from the price for a delivery.
    2. Trade customers
      1. Turf orders cannot be cancelled after 11.00am the day before delivery.
      2. Bespoke items, workshop orders and special orders of materials that are not normally stocked, cannot be returned.
      3. Country Supplies reserves the right to refuse any returns to trade customers and any exceptions are entirely at their discretion.
      4. Customers will be liable for the cost of returning items to us if it has been agreed that they will be accepted.
      5. No returns or collections will be accepted at a yard or by a driver unless already agreed by a member of the Country Supplies office team.
      6. If a part of an order is requested to be left on a delivery vehicle when an attempt to deliver it is made, it will be considered as a return and subject to a charge for its transport back to our premises.
      7. If we are unable to make the delivery due to it being refused by the customer, except where an error is made by us, then the order will be considered to be cancelled for which the customer will be responsible for the cost of the materials to be returned to our premises.
      8. Where the situation in clause 6.2.6 arises, then any arrangement to deliver the original materials at a different time or date will be considered a new agreement.
      9. Any returned goods must be in a good and resalable state.
  7. Damaged Materials and Missing Items

    1. Non-trade customers 
      1. The customer has the right to return goods that are faulty beyond their described limitations or are mis-described, in line with the Consumer Rights Act 2015.
      2. Materials will only be replaced if flawed in excess of their product description. For full information on what to do in this instance please go to our How to Report Problems page.
      3. Reports of missing and damaged items need to be made before the order has been used or altered.
      4. Customers are responsible for the security of their order, once the delivery has been made.
      5. If you believe that your order does not contain the full amount of items ordered, then please contact us as soon as possible after the delivery.
      6. Customers collecting orders directly from the premises are responsible for checking that they have the correct materials and volume, before leaving the site.
    2. Trade customers
      1. If you believe the items you have been supplied with are damaged, a picture of the materials needs to be sent to enquiries@countrysupplies.uk.com before any action can be taken.
      2. If the damaged materials includes paving, then the photos should be taken of it in the crate.
      3. Reports of missing and damaged items need to be made before the material or remaining material has been used or altered.
      4. Customers are responsible for the security of their order, once the delivery has been made.
      5. Any report of missing or damaged materials that is agreed by a member of the office team, will be resolved at the earliest opportunity.
  8. Dispute resolution

    1. If you believe that we have not fulfilled our obligations within our agreement, you must contact us as soon as possible in the first instance, by telephone on 01494 562406 or ideally using an enduring means, e.g. email or letter.     2. Country supplies will make every endeavour to resolve any genuine dispute in a reasonable manner and time frame using factual evidence, such as photographs of orders and recordings of telephone conversations, where possible.
    3. Country Supplies will not tolerate abusive, aggressive or threatening behaviour towards any staff for any reason.
    4. Country Supplies reserve the right not to serve an individual or company, either temporarily or permanently.
    5. Any application for a chargeback will be contested
    6. A charge of £25 + vat will be made to the customer for administration fees, where their charge back attempt is unsuccessful.
  9. Licence

    1. Unless otherwise stated, the copyright and other intellectual property rights in all material on this Website (including without limitation photographs and graphical images) are owned by us or our licensors.
    2. For the purposes of these terms and conditions, any use of extracts from this Website other than in accordance with that stated above for any purpose is prohibited.
    3. Any rights not expressly granted in these terms are reserved.
    4. The website may only be used for lawful purposes and in a lawful manner.
    5. By using the website, you agree to comply with all applicable laws, statues and regulations regarding the website and any transactions conducted on or through it.
  10. Liability

    1. While we endeavour to ensure that the information on this Website is accurate, we do not warrant, whether expressed or implied, the accuracy and completeness of the material on it.
    2. We may make changes to the material on this Website, or to the products and prices described in it, at any time without notice.
    3. We exclude all liability and responsibility for any amount or kind of loss or damage that may result to you or a third party in connection with this Website in any way or any websites linked to this Website.
    4. While we endeavour to ensure that this Website is normally available 24 hours a day, we will not be liable if for any reason this Website is unavailable at any time or for any period.
    5. Access to this Website may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond our control.
    6. We make no warranty that the Website will meet your requirements or will be error-free, that defects will be corrected, or that the site or the server that makes it available are free of viruses or bugs
    7. All products obtained from Country Supplies should be used and operated as specified in any instructions and/ or advice that accompany them.
    8. It is the responsibility of the purchaser to ensure that any products purchased that have the potential to cause harm, are used and installed in an appropriate and safe manner, where necessary using the appropriate protective clothing and equipment. i.e. knapsack sprayers should be used with the appropriate breathing mask, gloves, boots and include eye protection etc.
    9. If the customer is unsure of the potential hazards in using any of the products and the information supplied with it does not give them the necessary information, then they should either contact Country Supplies via www.countrysupplies.uk.com/01494 562406 or the manufacturer of the product.
    10. Nothing in these terms and conditions shall exclude or limit our liability for
      1. Death or personal injury caused by negligence (as such term is defined by the Unfair Contract Terms Act 1977)
      2. Fraud
      3. Misrepresentation as to a fundamental matter
      4. Any liability which cannot be excluded or limited under applicable law.
    11. We may update, vary and amend these Terms from time to time without prior notice.
    12. You may not assign or transfer your rights or obligations under our agreement, unless we agree in writing.
    13. If you are acting in the course of a business, trade or profession in your ordering and/or purchasing of Products (a business customer), we shall have no liability to compensate you, other than any refund we make under our agreement or otherwise at our discretion.
    14. Where we are unable to perform our obligations under the Contract due to matters outside of our control or if we supply a product that is damaged or defective, we will not in any circumstances accept liability for any claim to recover loss of profits or any special or indirect loss, damage or expense.
    15. Nothing in our agreement is intended to limit your legal rights as a consumer.
    16. Only the parties to these terms and conditions may seek to enforce them under the Contracts (Rights of Third Parties) Act 1999.
  11. Waiver

    1. The waiver by us of any breach or default of these terms shall not be construed as a continued waiver of that breach nor as a waiver of any subsequent breach of the same or any other provision.
    2. If we fail to insist that you perform any of your obligations under our agreement, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations.
    3. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.
  12. Survival

    1. If any provision of our agreement (including any provision in which we exclude or limit our liability to you) is found to be invalid or unenforceable in whole or in part, the validity of the other provisions of our agreement and the remainder of the provision in question shall not be affected.
  13. Governing law and jurisdiction

    1. These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales. Disputes arising in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the English courts.
    2. Further advice about your legal rights is available from your local Citizens Advice Bureau or Trading Standards office.
    3. Nothing in these Terms will affect these legal rights.
